IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE WEBSITE, PLATFORM, AND SERVICES.

- Medical Expert Witness Services: Coordination of qualified medical experts for depositions and testimony
- Medical Chronology Development: Creating comprehensive timelines of medical events and treatments
- Life Care Planning: Actuarial analysis and planning for long-term medical care needs
- Medical Bill Review and Auditing: Analysis of medical charges for accuracy and reasonableness
- Medical Transcription Services: Accurate transcription of medical recordings and documentation

SERVICE AGREEMENTS AND CONTRACTS

Precedence: In the event of conflict between these Terms and executed service contracts, the specific service contract provisions shall prevail.
Authorized Users
Services are provided to authorized client organizations. Individual users accessing Services on behalf of client organizations represent that
- They are authorized employees, agents, or representatives of the client
- They have appropriate permissions to access and use the Services
- Their use complies with their organization’s policies and applicable law
Service Scope and Limitations
CUBEXLE Services are intended for professional use by qualified legal and insurance professionals. Our Services

- Provide legal advice or representation

- Create attorney-client or doctor-patient relationships
- Guarantee specific legal outcomes or case results
- Replace the judgment of qualified attorneys or medical professionals
Professional Responsibility: Final decisions regarding legal strategy, medical interpretation, and case management remain the responsibility of appropriately licensed professionals. CUBEXLE provides information and support services but does not make legal or medical determinations.
USER OBLIGATIONS AND CONDUCT

- Violate patient privacy rights or HIPAA regulations
- Misappropriate intellectual property or trade secrets
Fraudulent or Illegal Activities
- Provide false, misleading, or fraudulent information
- Impersonate other individuals or entities
- Engage in identity theft or fraud
- Submit forged or altered documents
- Use Services for illegal purposes or to facilitate unlawful activities
Inappropriate Content
- Upload, post, or transmit offensive, defamatory, or harmful content
- Share content that violates third-party rights
- Distribute spam, unsolicited communications, or malicious links
- Post content promoting violence, discrimination, or illegal activities
Commercial Misuse
- Use Services for unauthorized commercial purposes
- Resell or redistribute Services without authorization
- Reverse engineer, decompile, or disassemble our technology

FEES, PAYMENT, AND BILLING
Service Fees
CUBEXLE Services are provided on a fee basis as specified in

- Statements of Work (SOWs)
- Published pricing schedules
- Quotations provided to clients
Pricing is subject to change with reasonable advance notice to existing clients.
Payment Terms
Unless otherwise specified in service agreements
- Invoices are due within 30 days of invoice date
- Payments are processed through secure payment gateways
- Late payments may incur interest charges at the rate of 1.5% per month or the maximum permitted by law
- Continued Services may be suspended for non-payment
Taxes
Fees are exclusive of applicable taxes, duties, or government charges. You are responsible for
- All applicable sales, use, value-added (VAT), goods and services (GST), or similar taxes
- Withholding taxes as required by law
- Providing tax identification information as needed
Indian Tax Compliance: CUBEXLE complies with Indian Goods and Services Tax (GST) requirements. GST will be added to invoices as applicable.
Refund Policy
Services Rendered: Fees for completed Services are non-refundable
Cancellations
- Client-initiated cancellations may incur cancellation fees as specified in service agreements
- CUBEXLE-initiated cancellations will result in pro-rata refunds of prepaid fees
- Rush or expedited service fees are non-refundable once work has commenced
Disputed Charges: If you believe an invoice is incorrect, contact billing@cubexle.com within 30 days of invoice date.
CONFIDENTIALITY AND DATA PROTECTION
Confidential Information
Both parties acknowledge that access to Services may involve disclosure of confidential information including
- Client case information and legal strategies
- Protected Health Information (PHI) and medical records
- Business processes, methodologies, and trade secrets
- Financial information and pricing
- Technical data and proprietary algorithms
CUBEXLE’s Confidentiality Obligations
CUBEXLE agrees to
- Maintain strict confidentiality of all client and case information
- Limit access to information to authorized personnel on a need-to-know basis
- Implement appropriate technical and organizational safeguards
- Comply with HIPAA Privacy and Security Rules for PHI
- Not disclose information except as authorized or required by law
- Return or destroy confidential information upon contract termination
User Confidentiality Obligations
Users agree to
- Maintain confidentiality of account credentials and access information
- Protect any CUBEXLE proprietary information, methodologies, or trade secrets
- Not share confidential information with unauthorized third parties
- Comply with their professional obligations regarding client confidentiality
HIPAA Compliance
For clients subject to HIPAA regulations, CUBEXLE serves as a Business Associate and executes Business Associate Agreements (BAAs) as required
CUBEXLE’s HIPAA Obligations
- Use and disclose PHI only as permitted by BAA and HIPAA
- Implement required safeguards to protect PHI
- Report security incidents and breaches as required
- Provide access to PHI and accounting of disclosures as required
- Make PHI available for amendment or correction
- Ensure subcontractors comply with HIPAA requirements
Breach Notification: In the event of a breach of unsecured PHI, CUBEXLE will notify affected clients within 30 days as required by HIPAA

CUBEXLE complies with applicable data protection laws, including

CUBEXLE warrants that

Remedy for Breach: Your exclusive remedy for breach of warranty is re-performance of deficient Services at no additional charge.

Medical Information Limitations: Medical record reviews and analyses are based on available documentation. CUBEXLE is not responsible for
- Inaccuracies or omissions in source medical records
- Missing or incomplete medical documentation
- Interpretation differences among medical professionals
- Changes in medical standards or practice guidelines
LIMITATION OF LIABILITY
Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CUBEXLE, ITS

Cap on Direct Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUBEXLE’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR SERVICES SHALL NOT EXCEED
THE LESSER OF
- The total fees paid by you to CUBEXLE in the 12 months preceding the claim, OR
- ₹100,000 (One Lakh Indian Rupees)
Exceptions to Limitations
These limitations do NOT apply to
- Our gross negligence or willful misconduct
- Fraud or fraudulent misrepresentation
- Death or personal injury caused by our negligence
- Violations of law that cannot be limited by contract
- Our indemnification obligations under these Terms
- Liabilities that cannot be limited under applicable law
Basis of Bargain
You acknowledge that
- These limitations reflect the allocation of risk between the parties
- Fees charged reflect these limitations
- You would not enter into these Terms without these limitations
- These limitations apply even if limited remedies fail their essential purpose
INDEMNIFICATION
User Indemnification
You agree to indemnify, defend, and hold harmless CUBEXLE, its parent, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys’ fees and costs) arising from or related to
- Your use or misuse of the Website, Platform, or Services
- Your violation of these Terms
- Your violation of applicable laws, regulations, or third-party rights
- Your unauthorized disclosure of confidential information
- Your negligence, willful misconduct, or fraudulent actions
- Inaccurate information you provide to CUBEXLE
- Claims by third parties related to your use of Services
- Your violation of HIPAA, privacy laws, or data protection regulations
Defense and Settlement
CUBEXLE reserves the right to
- Assume exclusive defense and control of matters subject to indemnification
- Require your cooperation in defense of claims
- Reject settlement proposals that admit liability or impose obligations on CUBEXLE
- Recover costs and attorneys’ fees in defending claims
You May Not settle claims without CUBEXLE’s prior written consent.
CUBEXLE Indemnification
CUBEXLE will indemnify and defend you against third-party claims that our Services infringe valid intellectual property rights, provided that
- You promptly notify CUBEXLE of claims
- You grant CUBEXLE sole control of defense and settlement
- You cooperate reasonably in defense efforts
CUBEXLE’s Remedies
- Procure rights to continue providing Services
- Modify Services to be non-infringing
- Replace Services with non-infringing alternatives
- Terminate Services and refund prepaid fees
Exclusions: This indemnity does NOT apply to claims arising from
- Modifications you make to Services
- Use of Services in combination with unauthorized third-party products
- Use of Services outside the scope of agreements
- Content you provide to CUBEXLE
TERMINATION
Termination by Users
You may terminate your use of the Website or Platform at any time by
- Ceasing to access the Website
- Closing your account (if applicable)
- Providing written notice to CUBEXLE
Service Contracts: Termination of ongoing Services is governed by applicable service agreements, which may require
- Advance written notice (typically 30-60 days)
- Payment of fees for work performed through termination
- Return of materials and data as specified in agreements
Termination by CUBEXLE
CUBEXLE may suspend or terminate your access immediately, without notice, for
- Violation of these Terms or applicable laws
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Conduct that harms CUBEXLE’s reputation or business
- Security threats or breaches
- Inactivity for extended periods (with reasonable notice)
Effect of Termination
Upon termination
You Must
- Cease all use of the Website, Platform, and Services
- Return or destroy all CUBEXLE confidential information
- Pay all outstanding fees and charges
- Delete or destroy any downloaded materials
CUBEXLE Will
- Terminate your access to accounts and systems
- Retain data as required by law or client contracts
- Return or destroy your confidential information as specified in agreements
- Provide copies of work product completed through termination date (upon payment of fees)

DISPUTE RESOLUTION
Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles, including
- Indian Contract Act, 1872
- Information Technology Act, 2000
- Digital Personal Data Protection Act, 2023
- Companies Act, 2013
- Other applicable Indian laws and regulations
For international clients, we also comply with applicable foreign laws where required.
Jurisdiction and Venue
Subject to the arbitration provisions below, any legal action or proceeding arising from or related to these Terms shall be brought exclusively in the courts of Chennai, Tamil Nadu, India. You consent to the personal jurisdiction and venue of such courts.
Arbitration Agreement
Mandatory Arbitration: Any dispute, controversy, or claim arising from or related to these Terms or Services shall be resolved through binding arbitration rather than in court, except for
- Claims for injunctive or equitable relief
- Intellectual property disputes
- Claims of less than ₹50,000
Arbitration Procedure
- Conducted under the Arbitration and Conciliation Act, 1996

Arbitration Fees: Each party bears its own costs unless the arbitrator awards costs to the prevailing party
Award: Arbitrator’s decision is final and binding. Judgment may be entered in any court having jurisdiction.
Class Action Waiver: You agree to arbitrate disputes only on an individual basis. You waive any right to participate in class actions, collective actions, or representative proceedings.
Opt-Out Right: You may opt out of this arbitration agreement by providing written notice within 30 days of first accepting these Terms. Send notice to: legal@cubexle.com with subject line “Arbitration Opt-Out.”
Injunctive Relief
Notwithstanding arbitration provisions, CUBEXLE may seek injunctive or equitable relief in court to
- Protect intellectual property rights
- Enforce confidentiality obligations
- Prevent irreparable harm
- Preserve evidence pending arbitration
Small Claims Court
Either party may pursue claims in small claims court if they qualify under applicable jurisdictional limits.
GENERAL PROVISIONS
Entire Agreement
These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and CUBEXLE regarding the subject matter herein and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them valid and enforceable.
Waiver
CUBEXLE’s failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by authorized CUBEXLE representatives.
Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without CUBEXLE’s prior written consent. CUBEXLE may assign these Terms to affiliates, successors, or in connection with mergers, acquisitions, or asset sales.
Force Majeure
CUBEXLE is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including
- Acts of God, natural disasters, epidemics, pandemics
- War, terrorism, civil unrest, government actions
- Labor disputes, strikes, lockouts
- Telecommunications failures, internet outages, cyberattacks
- Supplier failures, material shortages
Independent Contractors
The relationship between you and CUBEXLE is that of independent contractors. These Terms do
not create any partnership, joint venture, agency, employment, or franchise relationship.
Third-Party Beneficiaries
These Terms are for the benefit of the parties only and do not confer rights upon any third parties, except
- CUBEXLE affiliates, officers, directors, employees, and agents for indemnification purposes
- Successors and permitted assigns
